Vaio VGN-N38E HDD Replacement

Hello. I have a question. Will it be a compatibility problem on my vgn-n38e if I replace the original hdd wich is on SATA and 5400 rpm with a new one on SATA2 and 7200rpm?

No - SATA drives are always backward compatible.  However, it may only work at SATA I transfer rates.
